1. Acceptance of Terms

By accessing or using the services provided by SoundGo Global Rights Management LLC("SoundGo," "we," "us," or "our"), including our website, platform, and all related tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and SoundGo Global Rights Management LLC. We reserve the right to update or modify these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

2. Description of Services

SoundGo provides royalty administration support services, including but not limited to: catalog organization, rights data management, royalty eligibility analysis, claim preparation and submission to Performance Rights Organizations (PROs), Collective Management Organizations (CMOs), and other royalty collection societies, metadata correction, and royalty recovery assistance.

SoundGo is a royalty administration service provider. SoundGo does NOT acquire, purchase, or claim ownership of any musical works, sound recordings, copyrights, or intellectual property belonging to its users. All rights, title, and interest in your musical works and recordings remain with you at all times.

3. Free Account Terms

Creating an account on SoundGo is free. Free account features include profile setup, catalog organization, metadata entry, songwriter split documentation, royalty eligibility analysis, organization matching, and dashboard access. No credit card or payment information is required to create an account.

Free account features do not include claim submission, royalty collection, or active administration services. These services are provided under the commission-based structure described below.

4. Commission Structure

SoundGo charges a commission of 15% on gross royalties successfully recovered, collected, or administered on your behalf. This commission is deducted from royalty payments before distribution to you.

No Recovery, No Commission. If no royalties are recovered through SoundGo's administration services, you owe nothing. There are no setup fees, monthly subscriptions, or minimum commitments.

The commission rate and payment terms are further detailed in the Commission Agreement. In the event of any conflict between these Terms and a separate signed Commission Agreement, the signed agreement shall control.

5. Authorization Scope

By using SoundGo's administration services, you authorize SoundGo to act on your behalf for the specific purposes outlined in the authorization document(s) you sign. The scope of authorization may include, but is not limited to: publishing royalties, mechanical royalties, performance royalties, sound recording royalties, neighbouring rights, metadata correction, and related administration activities.

Authorization is limited to the territories, organizations, and time periods specified in your signed authorization document. SoundGo will not act beyond the scope of your written authorization.

6. User Warranties and Representations

By using the Services, you represent and warrant that:

• You are the rightful owner or authorized controller of all musical works, sound recordings, and rights data you submit to SoundGo.
• All information, metadata, ownership claims, and documentation you provide is accurate and truthful to the best of your knowledge.
• You have the legal authority to authorize SoundGo to act on your behalf with the specified royalty organizations.
• You will not submit fraudulent, misleading, or inaccurate ownership claims.
• You are at least 18 years of age or have the consent of a legal guardian.

7. Limitation of Liability

To the fullest extent permitted by law, SoundGo Global Rights Management LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to: loss of revenue, loss of royalties, loss of data, or business interruption, regardless of the theory of liability.

SoundGo's total liability to you for any claim arising from these Terms or the Services shall not exceed the total commissions actually retained by SoundGo from your account during the twelve (12) months preceding the claim.

8. No Guarantee of Results

SoundGo does not guarantee that any PRO, CMO, society, platform, distributor, or royalty organization will approve a claim, register a work, accept ownership proof, or issue payment. All submissions are subject to the rules, requirements, and discretion of each third-party organization. Approval, rejection, and payment timelines are entirely within the control of those third parties.

9. Intellectual Property

Your Content: You retain all ownership rights to your musical works, sound recordings, metadata, and any other content you submit to SoundGo. By submitting content, you grant SoundGo a limited, non-exclusive license to use such content solely for the purpose of performing the administration services you have authorized.

SoundGo Platform: The SoundGo platform, website, branding, software, and all related materials are the intellectual property of SoundGo Global Rights Management LLC. Users may not copy, reproduce, distribute, or create derivative works from SoundGo's proprietary materials without prior written consent.

10. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Services, you consent to the data practices described in the Privacy Policy.

11. Termination

You may terminate your account at any time by contacting SoundGo in writing. Upon termination, SoundGo will cease all administration activities on your behalf, subject to any pending claims or royalties already in process.

SoundGo reserves the right to suspend or terminate your account if you: (a) violate these Terms; (b) submit fraudulent or misleading information; (c) engage in conduct that could harm SoundGo, its users, or third-party organizations; or (d) fail to respond to reasonable requests for information necessary to process your claims.

Commission obligations survive termination for any royalties collected as a result of claims submitted or administration performed prior to the effective date of termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in the State of Florida.

Before initiating any legal proceeding, you agree to attempt to resolve any dispute informally by contacting SoundGo at support@soundgorights.com. The parties shall attempt to resolve any dispute through good faith negotiations for a period of at least thirty (30) days before filing any claim.

13. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, Commission Agreement, and any signed authorization documents, constitute the entire agreement between you and SoundGo Global Rights Management LLC regarding the Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Failure by SoundGo to enforce any provision of these Terms shall not be deemed a waiver of that provision or the right to enforce it in the future.

Assignment. You may not assign or transfer your rights under these Terms without SoundGo's prior written consent. SoundGo may assign its rights and obligations under these Terms without restriction.
